Terms of Use

These Terms of Use ("Terms") govern your access to and use of the FlintSpan platform, websites, and services (the "Service"), operated by Sidetrack Services, LLC, doing business as FlintSpan ("FlintSpan," "we," "us"). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of a business, you represent that you are authorized to bind that business ("Client," "you").

1. What FlintSpan is

FlintSpan provides software that lets rental businesses publish a branded website and run an online reservation system. FlintSpan is a technology provider only. Rentals, listings, pricing, rental agreements, deposits, and the relationship with the people who rent from you ("Renters") are solely between you and your Renters. FlintSpan is not a party to, and is not responsible for, any rental transaction or rental agreement.

2. Accounts

• You must provide accurate information and keep your account and staff logins secure.
• You are responsible for all activity under your account and for your staff users.
• You must be at least 18 and able to form a binding contract.

3. Your responsibilities as a Client

• Use the Service lawfully and only for your legitimate rental business.
• You are responsible for your own content, listings, prices, taxes, and rental agreements, and for having any permits, licenses, and insurance your business requires.
• You must maintain your own customer-facing terms and privacy policy with your Renters and obtain any consents the law requires — including SMS/telephone consent and A2P registration before sending texts (see our SMS messaging policy and A2P runbook), and consent for collecting and processing Renter documents (e.g., ID/insurance) where you enable that feature.
• You will not upload unlawful, infringing, or harmful content, or use the Service to harass, defraud, or violate others' rights.

4. Subscriptions, trials & billing

• Paid plans are offered as tiers (and optional add-ons / metered usage). Fees, billing intervals (monthly or annual), and any free trial are shown at sign-up and in your account.
• Subscriptions auto-renew for successive terms until cancelled. You can cancel renewal in your account; cancellation takes effect at the end of the current term.
• Fees are exclusive of taxes, which you are responsible for. Metered/usage-based charges (e.g., messaging, document verification) are billed as incurred.
• Except where required by law, fees are non-refundable. We may change prices with reasonable notice effective at your next renewal.
• If payment fails or an account is delinquent, we may suspend the Service after notice.

5. Payments and money handling

Payments from your Renters are processed entirely through your own connected payment processor (e.g., Stripe or Square) on your account. Money goes directly to you — FlintSpan never holds, takes custody of, or takes a percentage of your rental funds, and FlintSpan is not the merchant of record for your rental transactions. You are responsible for chargebacks, refunds, taxes, and disputes on your rentals. (Your subscription to the Service is billed separately by FlintSpan, as described in section 4.)

6. Third-party integrations

The Service can connect to third-party providers you choose (payments, calendars, SMS, smart locks, maps, analytics, and others) using credentials you supply. Your use of those services is governed by their terms and privacy policies, and FlintSpan does not control and is not responsible for third-party availability, changes, fees, or acts. You authorize FlintSpan to access those services on your behalf to provide the Service.

7. Intellectual property

FlintSpan and its licensors own the Service, software, and FlintSpan branding. You own your content and grant FlintSpan a limited license to host, process, and display it to operate the Service for you. You may not copy, reverse-engineer, or resell the Service.

8. Privacy

Our handling of personal information is described in our Privacy Policy. For the personal data of your Renters that we process through the Service, you are the controller and FlintSpan is your processor/service provider, acting on your instructions.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free, or that integrations or deliverability (e.g., email/SMS) will always succeed.

10. Limitation of liability

To the fullest extent permitted by law, FlintSpan will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Service is limited to the fees you paid us in the 12 months before the claim.

11. Indemnification

You will defend and indemnify FlintSpan against claims arising from your rentals, your content, your use of the Service, your relationship with your Renters, or your violation of these Terms or applicable law.

12. Term & termination

You may stop using the Service and cancel at any time. We may suspend or terminate the Service for breach, non-payment, or legal/security reasons, with notice where practicable. On termination you may export your data for a limited period; afterward we delete or de-identify it per our Privacy Policy and retention practices.

13. Changes

We may update the Service and these Terms. Material changes will be posted here with an updated date and, where appropriate, additional notice. Continued use after changes means you accept them.

14. Governing law & disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located in Franklin County, Pennsylvania.

15. Miscellaneous

These Terms, with the Privacy Policy and any order or plan you select, are the entire agreement. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale. Our failure to enforce a provision is not a waiver.
